The fine print, in plain language.
Terms of service
Version 1.7, 21 October 2026
These Terms of Service (the "Terms") govern the use of the PlusOne guest list platform (the "Service") provided by The Operators, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce under number 99992841, owner Max Merlijn Seffelaar, with registered address at Goirkestraat 74-14, 5048 GM Tilburg, the Netherlands ("PlusOne", "we", "us"). The Service is offered exclusively to businesses and professional organizations (B2B). By creating a venue, accepting an invitation to a venue, or otherwise using the Service, the Customer and its Users agree to these Terms.
1. Definitions
Capitalized terms have the following meanings. The singular includes the plural.
- Account: the personal login of an individual User. Accounts are created by invitation only and belong to the individual, not to a venue: one Account can be a member of several venues (section 4.4).
- Agreement: these Terms, the Data Processing Agreement, the order or online subscription for a Venue, and any written addendum, together.
- Customer: the legal entity or business that operates a Venue in the Service — typically a venue operator, club, event space, promoter or event organizer — and is responsible for that Venue's use of the Service, including its fees.
- Customer Content: everything the Customer, its Users and Guests enter into or generate in the Service under the Customer's Venue, including event details, guest lists, address book contacts, guest requests, door records, quotas, tiers, notes and settings. Customer Content includes Guest Data.
- Data Processing Agreement or DPA: PlusOne's data processing agreement (Art. 28 GDPR), which forms an integral part of the Agreement (
https://plus-one.io/legal#dpa). - Door: the check-in surface of the Service (in the browser or the Native App) used by Users at the entrance of an Event, including its offline mode.
- Event: an event (night, show, party, private function) that the Customer creates in the Service under its Venue.
- Guest: a natural person who is placed on a guest list for an Event, who submits a request for a spot via a Request Link, or who is checked in or refused at the Door.
- Guest Data: personal data of Guests and of address book contacts processed in the Service on behalf of the Customer (as further described in the DPA).
- Guest Terms: the short terms that apply between PlusOne and Guests who use the public request pages and status pages of the Service. In the Guest Terms, "Venue" means the venue, club or organizer that shared the link with the Guest, i.e. the Customer and its Venue in the sense of these Terms.
- Intellectual Property Rights: all intellectual property rights worldwide, whether registered or not, including copyright, database rights, trademarks, trade names, design rights, patents, know-how and rights in software and documentation, and all applications for and renewals of such rights.
- Native App: the PlusOne app for iOS and Android, distributed through the Apple App Store and Google Play, which loads the same Service in a native shell.
- Organizer: a User who is granted access to one or more specific Events of a Venue (for example an external promoter) rather than to the Venue as a whole.
- Platform Administrator: a member of PlusOne's own operations team with cross-venue support access to the Service (section 10.3).
- Request Link: a public web link (
https://app.plus-one.io/e/…) that the Customer creates for an Event and through which Guests can request a spot; the Customer decides who receives the link and can pause, limit or deactivate it. - Service: the PlusOne guest list platform as made available by PlusOne from time to time, including the web application at
https://app.plus-one.io, the Native Apps, the Door, the public request and status pages, and related documentation and support — as described in section 3 and as adjusted by PlusOne from time to time. - Subscription: the paid plan under which a Venue uses the Service after the Trial.
- Trial: the free trial period described in section 6.
- User: an individual who holds an Account and has been granted a role in the Customer's Venue or Event (for example administrator, user manager, finance, staff, door host or Organizer).
- Venue: the tenant in the Service under which the Customer manages its Events, Users, guest lists and settings.
2. Applicability and formation
2.1. These Terms apply to every offer, quotation, Trial, Subscription, pilot arrangement and other Agreement concerning the Service. The applicability of the Customer's own general terms and conditions is expressly rejected.
2.2. The Agreement is formed when the Customer creates a Venue in the Service (which requires acceptance of these Terms and the Privacy Policy), or when PlusOne confirms an order in writing. A User who accepts an invitation to an existing Venue accepts these Terms on their own behalf as a User; the Customer remains the contracting party for that Venue.
2.3. The person who creates a Venue or accepts these Terms on behalf of the Customer warrants that they are authorized to bind the Customer.
2.4. Deviations from and additions to these Terms are binding only if agreed in writing. In case of conflict, the following order of precedence applies: (i) a signed written addendum, (ii) the DPA with respect to the processing of Guest Data, (iii) the order or online subscription, (iv) these Terms.
2.5. PlusOne may involve its personnel and contractors in performing the Agreement; these Terms also apply for their benefit.
3. The Service
3.1. What the Service is. The Service is a tool for managing guest lists for the Customer's Events. Its functionality currently includes: guest list administration per Event; guest tiers; personal and event quotas for Users; Request Links with an approval workflow and a status page for the Guest; a venue address book; list locking; check-in and refusal registration at the Door, with offline tolerance; statistics; role-based access; and an append-only audit log. The current functionality is described at https://plus-one.io.
3.2. What the Service is not. The Service does not sell tickets, does not collect payments from Guests, does not send invitations or marketing messages to Guests on the Customer's behalf, and does not decide who is admitted to an Event. PlusOne is not a party to any relationship between the Customer and its Guests (section 5).
3.3. Best efforts; no guarantee of results. PlusOne performs the Service with reasonable skill and care. All obligations of PlusOne are obligations of best efforts (inspanningsverplichtingen), unless a specific result has been agreed in writing. PlusOne does not guarantee that the Service is error-free, uninterrupted, or that it meets the Customer's specific requirements or the requirements of any venue license, permit or authority.
3.4. Development and changes. PlusOne continuously develops the Service and may add, change or remove functionality. PlusOne will not materially reduce the core functionality of the Service (guest lists, Request Links, Door, audit log) during a paid Subscription period without at least 30 days' notice, unless the change is required by law, by an app store or platform provider, or for security reasons.
3.5. The Door and offline operation. The Door is designed to keep working during temporary loss of connectivity: the guest list of an Event that was opened on the device while online is cached on that device, and check-ins and refusals are queued locally and synchronized when the connection returns. The Customer acknowledges that (a) offline operation requires the device to have loaded the Event beforehand, (b) numbers shown on different devices may briefly differ until they synchronize, and (c) the device itself must be kept secure (section 4.6). PlusOne is not responsible for check-ins that were never entered, or for decisions taken at the Door on the basis of information in the Service.
3.6. Native Apps and app store terms. The Native Apps are distributed through the Apple App Store and Google Play. Use of a Native App is additionally subject to the terms of the respective store and to the platform's own rules, which may prevail over these Terms where they are stricter. The Native Apps load the same Service and the same Customer Content as the web application; nothing in the Native App creates additional rights. Push notifications in the Native App are optional and can be disabled at device level. Subscriptions are managed on the web (https://app.plus-one.io) only; the Native Apps display billing status but do not offer purchases, plan changes or checkout (section 7.9).
3.7. Third-party services. The Service runs on infrastructure and services of third parties (hosting, database, payments, e-mail, monitoring, bot protection). PlusOne selects and contracts these providers with care; those that process Guest Data are listed as subprocessors in the DPA and the Subprocessor List.
4. Accounts, Users and roles
4.1. Invitation only. Accounts are created only through an invitation sent from the Service by a User with the appropriate role, or by PlusOne. There is no public sign-up. Every User must accept these Terms and the Privacy Policy at first login before using the Service.
4.2. Administrator. Every Venue has at least one User with the administrator role. The Customer designates its administrators and is responsible for keeping that designation current. The administrator manages Users, roles, Events, settings (including the retention period, section 9.5) and billing for the Venue.
4.3. Roles. Access within a Venue is governed by roles assigned by the Customer (currently: admin, user manager, finance, staff, door host), which may be combined on one User, and by Event-level access for Organizers. The Customer is solely responsible for which roles it grants to whom, including to external Organizers, and for what those Users can see and do as a result (for example, finance and Organizer roles see Guest names).
4.4. Accounts belong to individuals. An Account exists independently of any Venue. Removing a User from a Venue revokes that User's access to that Venue's Customer Content but does not delete the Account or affect the User's membership of other venues. Only the User can change the e-mail address of their own Account.
4.5. Responsibility for use. The Customer is responsible for all activity under its Venue, including by its Users, its Organizers, and anyone using a device that is logged in to its Venue. The Customer must (a) grant access only to persons who need it, (b) revoke the access of departed staff and Organizers without delay, using the User management and remote logout features of the Service, and (c) not permit sharing of Accounts. Actions taken through a User's Account are attributed to that User and recorded in the audit log (section 10.1).
4.6. Authentication and devices. Authentication is passwordless (a one-time code sent by e-mail). Users must keep the e-mail account linked to their Account secure. Two-factor authentication (TOTP) is available for every role and recommended for administrator and finance roles; it is not mandatory. Devices used at the Door hold a cached copy of the guest list of the opened Event and must be treated as containing Guest Data: the Customer will use personal logins on shared devices, log out when handing a device over, and report a lost or stolen logged-in device to PlusOne without delay so sessions can be revoked.
4.7. Suspension of Users. PlusOne may suspend an Account or a User's access to a Venue if PlusOne reasonably believes the Account is compromised or is being used in breach of the Agreement, and will inform the Customer's administrator where possible.
5. The Customer's Events and Guests
5.1. Sole responsibility for the Event. The Customer is solely responsible for the organization and execution of its Events, including licensing and permits, capacity and safety, age policy, house rules, door policy, the decision to admit or refuse any person, and compliance with all laws that apply to the Event and the venue premises. PlusOne provides the tool; it has no role in or knowledge of these matters.
5.2. PlusOne is not a party. Any relationship between the Customer and a Guest — including any promise of admission, any condition attached to a spot on the list (such as a minimum spend, a tier or a plus-one allowance), and any dispute about admission — is exclusively between the Customer and the Guest. A spot on a guest list in the Service is a record kept by the Customer; it is not a ticket, a reservation with PlusOne, or a right against PlusOne.
5.3. Guest Terms. Guests who use the public request and status pages of the Service do so under the Guest Terms, which set out that PlusOne is the Customer's tool and that the Customer decides on admission. The Customer will not make statements to Guests that contradict the Guest Terms, and will not present PlusOne as the organizer of, or as responsible for, the Event.
5.4. Information about the Event. The Customer is responsible for the correctness of everything it publishes through the Service, including the name, date, time and address of an Event shown to Guests on the request and status pages, and any message it sends to a Guest through the status page.
5.5. Request Links. The Customer decides who receives a Request Link and how it is distributed (for example, by staff or promoters). Requests submitted through a Request Link are approved or declined by the Customer's Users; PlusOne never approves a request on its own initiative. If the Customer enables automatic approval for a link, it does so at its own risk. Request Links can be paused, limited and deactivated by the Customer at any time.
5.6. Guest communication. The Service sends Guests no messages of its own. Where this function is available, the Service e-mails a Guest the Customer's decision on a request submitted through a Request Link, on the Customer's behalf and in the Customer's name; the Customer is responsible for the content of its decision message. The Service sends no other e-mail, SMS or messaging-app messages to Guests. The Customer remains responsible for informing its Guests, including about the outcome of a request (the Service also offers a status page for this purpose) and about its own privacy practices (section 9.3).
6. Trial
6.1. A new Venue receives a free Trial of 14 days from the moment the Venue is created. No payment details are required to start the Trial.
6.2. If the Trial ends without a Subscription, the Venue is placed in a restricted state ("soft block"): administrative growth actions — creating new Events (including from templates), inviting Users and bulk-importing contacts — are blocked until a Subscription is set up. Everything that was already planned keeps working: existing guest lists, Request Links for existing Events, the Door for existing Events, statistics and read access to all Customer Content. Retention and export are governed by section 16 and the DPA.
6.3. PlusOne may, at its discretion, extend a Trial or offer a pilot arrangement (section 7.8).
7. Fees and payment
7.1. Pricing. Subscription fees and plan contents are as stated at https://www.plus-one.io/pricing at the time of subscribing, or in a written order. All amounts are in euros and exclusive of VAT (BTW) and any other applicable taxes.
7.2. Payment provider. Fees are collected through PlusOne's payment provider Stripe. Available payment methods are iDEAL and SEPA Direct Debit; the iDEAL confirmation of the first payment establishes the SEPA Direct Debit mandate for subsequent renewals. PlusOne never receives or stores bank account numbers, IBANs or card details; these are held by the payment provider. Invoices are made available by the payment provider.
7.3. Billing period and renewal. Subscriptions are billed in advance per billing period (monthly unless stated otherwise) and renew automatically for successive periods until cancelled. The Customer can cancel at any time via the billing portal; cancellation takes effect at the end of the current billing period. There is no refund for partial periods, except where these Terms expressly provide otherwise.
7.4. Failed payments. If a payment fails, the payment provider retries collection according to its dunning schedule and the Customer is notified in the Service. During this period the Service remains available. If payment continues to fail, PlusOne may place the Venue in the restricted state of section 6.2 and ultimately cancel the Subscription. Restriction never blocks the Door for already-planned Events, nor read access to Customer Content.
7.5. Price changes. PlusOne may change its prices. A price change is announced at least 30 days in advance to the Venue's administrators and applies from the first billing period after the effective date. If the Customer does not accept a price increase, it may cancel the Subscription with effect from that date.
7.6. Disputed charges. Objections to an invoice must be raised within 30 days of the invoice date, failing which the invoice is deemed accepted. A chargeback or reversal of a direct debit does not release the Customer from its payment obligation; PlusOne may charge reasonable costs for failed collections.
7.7. Taxes. The Customer is responsible for providing a valid VAT number and billing details and for any taxes that apply to its use of the Service other than PlusOne's own income taxes.
7.8. Pilot and partner arrangements. PlusOne may agree with a Customer that a Venue uses the Service without charge for a fixed pilot or partner period ("comped"). Such an arrangement is agreed in writing (e-mail suffices) and states the end date of the free period and the rate that applies afterwards. Unless the Customer cancels before the end date, the Venue continues as a paid Subscription at that rate from the end date, without a further order. Either party may end the arrangement earlier with 30 days' notice. It does not otherwise change these Terms; in particular the DPA, section 8 (acceptable use) and section 14 (liability) apply in full.
7.9. No purchases in the Native Apps. Subscriptions, plan changes, payment methods and invoices are managed exclusively through the web application. The Native Apps show billing status only and contain no purchase, upgrade or checkout functionality. Nothing is sold through the app stores.
8. Acceptable use and fair use
8.1. The Customer will use the Service only for managing guest lists for its own Events (or Events it organizes for others under its own responsibility) and in accordance with the Agreement and applicable law.
8.2. The Customer will not, and will ensure its Users do not: (a) use the Service to process data or content that is unlawful, defamatory, discriminatory or infringes third-party rights; (b) use Guest contact details obtained through the Service for marketing without a valid legal basis (the marketing opt-in a Guest gives on a request page is a consent given to the Customer, not to PlusOne, and the Customer is responsible for honoring it and any withdrawal); (c) enter special categories of personal data (such as health data) in free-text fields; (d) attempt to circumvent role restrictions, quotas, list locks, rate limits or the audit log; (e) access the Service by automated means (scraping, bots), perform load or penetration testing without PlusOne's prior written consent, or interfere with the Service's security or integrity; (f) resell, sublicense or provide the Service to third parties other than its own Users and Organizers, or use the Service to build a competing product; (g) distribute Request Links in a way designed to overload the Service or to collect data from persons who have no genuine intention of attending.
8.3. Fair use. The Service is designed for venues running events with guest lists of typical nightlife and event size. PlusOne may apply reasonable technical limits (for example on request-page submissions, list sizes and API usage) to protect stability and the service quality of all customers, and may contact the Customer if usage is materially out of proportion to its plan.
8.4. Compliance with venue rules. The Customer remains responsible for how the Service is used at its premises, including compliance with any obligations it has toward guests under consumer law, licensing conditions and anti-discrimination law. Nothing in the Service (such as tiers, refusal reasons or notes) may be used in a discriminatory manner.
8.5. PlusOne may suspend the Service, in whole or in part, with immediate effect if it reasonably believes the Customer is in material breach of this section, and will inform the Customer and give it the opportunity to remedy where the circumstances allow.
9. Customer Content, Guest Data and privacy
9.1. Ownership. The Customer retains all rights in and to its Customer Content. The Customer grants PlusOne a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit and back up Customer Content solely to the extent necessary to provide, secure and support the Service and as further set out in the DPA.
9.2. Controller and processor. For Guest Data, the Customer is the data controller and PlusOne is the data processor. PlusOne processes Guest Data only on the Customer's documented instructions under the DPA. For data PlusOne processes for its own purposes (Accounts, billing, support, customer relationship management, security and platform integrity), PlusOne is an independent controller as described in the Privacy Policy (https://plus-one.io/legal#privacy).
9.3. The Customer's obligations toward Guests. As controller, the Customer is responsible for: (a) having a valid legal basis for all Guest Data it and its Users enter into the Service, and for Guest Data submitted by Guests through its Request Links; (b) informing Guests about the processing in its own privacy notice (the Service's request page shows a short notice that refers to the Customer as the party receiving the data; this does not replace the Customer's own notice); (c) handling Guests' requests to access, correct or erase their data, and any complaint, using the tools the Service provides (address book, "forget" function, retention setting) and, where needed, PlusOne's assistance under the DPA; and (d) its own registration and door practices, including any identity check it performs. If a Guest contacts PlusOne about Guest Data, PlusOne will refer the Guest to the Customer.
9.4. Accuracy and minimization. The Customer will enter only the Guest Data it needs. A name is the only mandatory field for a guest list entry; a request through a Request Link requires name, e-mail address and phone number so that the Customer can reach the Guest.
9.5. Retention and anonymization. The Customer configures a retention period per Venue (between 1 and 60 months after each Event ends; default 12 months). After that period the Service irreversibly anonymizes the Guest Data of the Event automatically, as described in the DPA. The Customer is responsible for choosing a retention period that fits its own legal obligations and for exporting anything it needs to keep, using the export function of the Service, before that period expires. Anonymization cannot be undone by PlusOne.
9.6. Erasure on request. The Customer can erase an individual person immediately, without waiting for the retention period, using the built-in "forget" function; this irreversibly anonymizes the person's address book entry, guest list entries, refusal records and related audit history across the Venue.
9.7. Aggregated data. PlusOne may create and use aggregated and anonymized data derived from the use of the Service (such as counts, performance and reliability metrics) that does not identify the Customer, a User or a Guest, to operate, secure, benchmark and improve the Service.
9.8. Backups. PlusOne keeps automated backups of the platform for disaster recovery. Backups are retained for a limited period and are not a substitute for the Customer's own export of Customer Content it wishes to keep.
10. Platform integrity: audit log, deletion and support access
10.1. Audit log. The Service records changes to guest lists, quotas, tiers, check-ins, refusals, Venue memberships, list locks and Request Link settings automatically at database level: who did what, when, and what changed. The audit log is append-only and cannot be edited or bypassed through the application, including by PlusOne. It is a core fraud-prevention feature of the Service; the Customer informs its Users that their actions are logged.
10.2. No hard deletion. Guests removed from a list are marked as removed rather than deleted, so that the history stays complete until anonymization. Quota bookkeeping follows from this: a guest with N companions occupies 1 + N spots; removing a guest frees the spots unless the guest has already been checked in.
10.3. Platform Administrators (support access). A small number of PlusOne operators hold a Platform Administrator flag that allows them to read and, where needed, write in any Venue in order to provide support, investigate incidents and debug the Service. This access (a) is limited to what is reasonably necessary for the purpose, (b) is used at the Customer's request or where PlusOne reasonably considers it necessary for security, integrity or legal compliance, (c) is subject to the confidentiality and processor obligations of the DPA, and (d) leaves every write in the audit log under the name of the PlusOne operator concerned, visible to the Customer in the same way as its own Users' actions. Access to a Venue by Platform Administrators through the application is logged and made available to the Customer on request. PlusOne does not use this access to make decisions about Guests on the Customer's behalf.
11. Availability, maintenance and support
11.1. Availability. PlusOne aims for high availability and monitors the Service continuously with escalation to on-call personnel, but does not commit to a specific uptime percentage under these Terms.
11.2. Maintenance. PlusOne performs maintenance where possible outside the peak hours of nightlife venues (evenings and nights, Thursday to Sunday). Planned maintenance that is expected to cause noticeable downtime is announced in advance to the Venue's administrators. Emergency maintenance may be performed without notice.
11.3. Incidents. In case of an incident affecting the Service, PlusOne follows its incident runbook and informs affected Customers where the incident is material. Personal data breaches are handled under the DPA.
11.4. Support. Support is provided in English and Dutch via support@plus-one.io. PlusOne aims to give a first response within 24 hours of receipt, every day of the week. Support does not include on-site presence at Events, training beyond documentation, or support for the Customer's own devices and network.
12. Intellectual property
12.1. All Intellectual Property Rights in and to the Service, the Native Apps, the software, the design, the documentation, and any improvements, adaptations and derived works remain exclusively with PlusOne or its licensors. No Intellectual Property Rights are transferred to the Customer.
12.2. PlusOne grants the Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its own business purposes during the term of the Agreement, in accordance with these Terms.
12.3. All Intellectual Property Rights in Customer Content remain with the Customer or its licensors (section 9.1).
12.4. The Customer will not copy, modify, decompile or reverse-engineer the Service except as permitted by mandatory law, and will not remove any notices of ownership.
12.5. Feedback, suggestions and ideas that the Customer or its Users provide about the Service may be used by PlusOne freely, without obligation or compensation, and do not become Customer Content.
12.6. PlusOne may refer to the Customer by name and logo as a customer in its marketing, unless the Customer objects in writing.
13. Confidentiality
13.1. Each party will keep confidential all non-public information it obtains about the other party's business in connection with the Agreement, and will use it only for the performance of the Agreement. For PlusOne, this includes all Customer Content.
13.2. This obligation does not apply to information that is or becomes public without breach, that the receiving party already lawfully held, or that must be disclosed under law or a court order (in which case the receiving party will, where permitted, inform the other party first).
13.3. This section survives the end of the Agreement for 2 years; for personal data, the DPA and applicable law govern.
14. Warranties and liability
14.1. No warranties beyond the Terms. Except as expressly stated in these Terms, the Service is provided as is, and PlusOne gives no warranties, express or implied, including as to fitness for a particular purpose, uninterrupted or error-free operation, or the accuracy of any information entered by the Customer, its Users or Guests.
14.2. Cap. PlusOne's total aggregate liability toward the Customer under or in connection with the Agreement, per contract year and on whatever legal basis, is limited to the fees actually paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim, or, if higher, EUR 5,000 (a fixed floor, because a Trial or comped Venue has paid nothing).
14.3. Exclusions. PlusOne is not liable for indirect or consequential damage, including lost profits, lost revenue or door income, lost data that the Customer could have exported, damage to reputation or goodwill, fines or claims arising from the Customer's Events, and damage resulting from (a) decisions taken by the Customer or its Users at the Door on the basis of information in the Service, (b) Guests who were admitted or refused, (c) the conduct of Users, Organizers or Guests, (d) loss, theft or misuse of a logged-in device, (e) devices that were not loaded with an Event before going offline, (f) incorrect configuration by the Customer (roles, quotas, retention, Request Links), or (g) failures of internet connectivity, the Customer's devices, or third-party services outside PlusOne's control.
14.4. No limitation for intent or gross negligence. The limitations and exclusions in this section do not apply in case of intent or willful recklessness (opzet of bewuste roekeloosheid) of PlusOne's owner, nor where liability cannot be limited under mandatory law (including Art. 82 GDPR, as allocated between the parties in the DPA).
14.5. Conditions for a claim. Damage must be reported to PlusOne in writing as soon as possible and in any event within 30 days of discovery, with sufficient detail for PlusOne to respond. Any claim lapses 12 months after the Customer became, or reasonably should have become, aware of the event giving rise to it.
15. Indemnification
15.1. The Customer indemnifies PlusOne and holds it harmless against all third-party claims (including from Guests, Users, supervisory authorities, licensing authorities and rights holders) and the resulting damage and costs (including reasonable legal costs) arising from (a) the Customer's Events and their organization and execution, (b) the Customer's use of the Service in breach of the Agreement or applicable law, (c) the Customer's failure to have a lawful basis for, or to properly inform Guests about, Guest Data, or (d) Customer Content.
15.2. PlusOne indemnifies the Customer against third-party claims that the Service, as provided by PlusOne and used in accordance with the Agreement, infringes an Intellectual Property Right of that third party in the Netherlands, provided the Customer notifies PlusOne promptly, lets PlusOne control the defense and settlement, and provides reasonable assistance. PlusOne may, at its option, procure a right to continue use, modify the Service so it no longer infringes, or terminate the Agreement against pro-rata refund of prepaid fees. This is the Customer's sole remedy for such claims.
16. Term, suspension, termination and data export
16.1. Term. The Agreement begins when the Venue is created (section 2.2) and continues for the Trial and any subsequent Subscription periods until terminated in accordance with these Terms.
16.2. Termination for convenience. The Customer may cancel its Subscription at any time with effect from the end of the current billing period (section 7.3). PlusOne may terminate a Venue that has been in the restricted state of section 6.2 or 7.4 for more than 90 days, with 30 days' written notice to the Venue's administrators. PlusOne may also terminate the Agreement for a Venue for convenience, with at least three (3) months' written notice to the Venue's administrators, effective at the end of the billing period in which that notice period ends; prepaid fees for the period after termination are refunded pro rata, and section 16.5 applies.
16.3. Termination for cause. Either party may terminate the Agreement with immediate effect by written notice if the other party (a) materially breaches the Agreement and does not cure the breach within 14 days after written notice, (b) is declared bankrupt, applies for suspension of payments, or ceases its business, or (c) in the case of the Customer, uses the Service in breach of section 8 in a manner that cannot be cured.
16.4. Effect of termination. On termination, the Customer's right to use the Service ends, subject to the export period below. Fees already due remain payable; prepaid fees are not refunded except where these Terms expressly provide otherwise (sections 7.5, 15.2, 16.2, 17, 18).
16.5. Data export. During the term the Customer can export its Customer Content itself, using the self-service export function of the Service. For 30 days after termination, PlusOne will, on the Customer's written request, provide an export of the Customer's non-anonymized Customer Content in a structured, commonly used, machine-readable format (such as CSV or JSON). The Customer is encouraged to request its export before the end of the Subscription; PlusOne may charge reasonable costs for repeated or unusually large export requests.
16.6. Deletion after termination. After the export period, PlusOne deletes or irreversibly anonymizes the Customer's Guest Data in accordance with the DPA, except where EU or Dutch law requires longer retention (for example, invoices and billing records for the statutory period). Non-personal, aggregated statistics may be retained. User Accounts are not deleted on termination of a Venue: they continue to exist for the individual User's other venues, and are removed under the Privacy Policy.
16.7. Survival. Sections 9.7, 12, 13, 14, 15, 16.5–16.7, 19 and 20 survive termination.
17. Force majeure
17.1. Neither party is liable for any failure to perform caused by circumstances beyond its reasonable control (overmacht), including failure or outage of hosting, database, payment, e-mail or other third-party providers, internet or power outages, cyber attacks despite reasonable defenses, pandemics, strikes, government measures, and app store or platform provider actions.
17.2. If a force majeure situation lasts longer than 30 consecutive days, either party may terminate the Agreement in writing without liability, against pro-rata refund of prepaid fees for the unused period.
18. Changes to these Terms
18.1. PlusOne may amend these Terms. Material changes are announced to the Venue's administrators (by e-mail or in the Service) at least 30 days before they take effect. If the Customer does not accept a material change, it may cancel the Subscription with effect from the effective date; continued use after that date, or acceptance of the new version in the Service, constitutes acceptance. Non-material changes (such as clarifications and changes required by law) may take effect immediately upon publication at https://plus-one.io/legal#terms.
18.2. The Service records which version of the Terms each User and each Venue accepted; a new material version is presented for acceptance in the Service.
19. Miscellaneous
19.1. Assignment. The Customer may not assign or transfer the Agreement without PlusOne's prior written consent, which will not be unreasonably withheld for a transfer to a successor of the Customer's business. PlusOne may assign the Agreement to an affiliated company or to a successor in a merger, acquisition or sale of its business, with notice to the Customer.
19.2. Notices. Notices to the Customer are sent to the e-mail address of its administrators or shown in the Service. Notices to PlusOne are sent to legal@plus-one.io.
19.3. Severability. If any provision of these Terms is void, voidable or unenforceable, the remainder stays in force and the provision is replaced by a valid provision that most closely reflects its intent.
19.4. No waiver. A party's failure to enforce a provision is not a waiver of its right to do so later.
19.5. Entire agreement. The Agreement is the entire agreement between the parties about the Service and supersedes all prior proposals and understandings.
19.6. Electronic contracting. The parties agree that the Agreement may be concluded and amended electronically, and that PlusOne's records of acceptance in the Service (including the audit log and acceptance timestamps) are sufficient evidence of acceptance.
19.7. Language. These Terms are drawn up in English. A Dutch translation may be provided for convenience; in case of discrepancy, the English version prevails.
20. Governing law and disputes
20.1. The Agreement is governed exclusively by Dutch law. The Vienna Sales Convention (CISG) does not apply.
20.2. Disputes arising from or in connection with the Agreement are submitted exclusively to the District Court of Zeeland-West-Brabant (Rechtbank Zeeland-West-Brabant), the Netherlands, unless mandatory law provides otherwise. Before starting proceedings, the parties will attempt in good faith to resolve the dispute by discussion between their management within 30 days.
